These Terms of Service (the “Terms”) govern your access to and use of the Aquaduck website, APIs, software, distributed compute network, contributor software, waitlist, beta programs, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
1. Who We Are
Aquaduck (“Aquaduck,” “we,” “us,” or “our”) provides distributed inference, compute orchestration, workload routing, contributor software, and related infrastructure for latency-tolerant AI workloads.
2. Eligibility
To use the Services, you must:
- Be at least 18 years old
- Have legal capacity to enter into agreements
- Comply with applicable laws and regulations
- Use the Services only for lawful purposes
3. Services
Aquaduck provides a distributed compute and inference platform that may route workloads across cloud infrastructure, participating contributor devices, or other network resources.
Services may include:
- Website access
- Developer APIs
- Inference and model execution
- Routing and orchestration
- Distributed compute participation
- Experimental or beta features
- Early-access contributor programs
We may modify, suspend, discontinue, limit, or remove Services at any time without notice.
4. Beta Services Disclaimer
Certain Services may be experimental, invite-only, pre-release, or beta.
You acknowledge that beta Services may:
- Contain bugs or incomplete functionality
- Experience downtime or interruptions
- Produce inconsistent or inaccurate outputs
- Change frequently without backward compatibility
- Be removed at any time
5. Account Registration
Some Services may require account creation. You agree to provide accurate, complete, and current information.
You are responsible for:
- Maintaining account security
- Protecting passwords and API keys
- Activity that occurs under your account
- Promptly notifying us of unauthorized access
6. User Content
You retain ownership of prompts, inputs, outputs, files, text, data, code, and other materials you submit to the Services (“User Content”).
By using the Services, you grant Aquaduck a limited, non-exclusive, revocable license to host, route, process, transmit, cache, analyze, and display User Content solely as needed to operate and improve the Services.
You represent that you have all necessary rights to submit User Content.
7. Distributed Processing
Aquaduck may process requests across distributed infrastructure, including contributor devices, cloud providers, edge systems, or other network participants.
Requests may be routed, sharded, retried, duplicated, cached, distributed, or reassigned to maintain reliability, cost efficiency, throughput, or network availability.
Due to the distributed nature of the Services, workloads may be processed across multiple geographic locations.
8. Contributor Participation
Contributor participation is voluntary. Individuals running Aquaduck contributor software may provide device resources including compute, memory, storage, bandwidth, or related infrastructure capacity.
Contributor participation may consume local system resources and may impact device performance, bandwidth usage, battery life, electricity consumption, or hardware utilization.
Contributors are responsible for securing their own devices and maintaining local system health.
9. Prohibited Use
You may not use the Services to:
- Violate any law or regulation
- Upload malicious code or malware
- Interfere with platform integrity
- Attempt unauthorized access
- Abuse APIs or infrastructure
- Reverse engineer proprietary systems
- Launch attacks against networks or users
- Scrape or overload infrastructure
- Bypass rate limits or security controls
- Use the Services for harmful or deceptive purposes
10. Intellectual Property
Except for User Content, all rights, title, and interest in the Services, including software, infrastructure, branding, trademarks, interfaces, and documentation, belong to Aquaduck or its licensors.
These Terms do not grant ownership of Aquaduck intellectual property.
11. Fees and Payments
Some Services may become paid in the future. If pricing is introduced, we may establish separate billing, subscription, usage-based, or payout terms.
We reserve the right to modify pricing, suspend payouts, reverse fraudulent credits, or hold reserves when necessary to protect network integrity.
12. Suspension and Termination
We may suspend, restrict, or terminate access to the Services at any time if we believe you:
- Violated these Terms
- Created legal or security risk
- Abused the platform
- Compromised infrastructure integrity
- Created risk to users or contributors
You may stop using the Services at any time.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUADUCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, RELIABILITY, ACCURACY, AVAILABILITY, OR PERFORMANCE.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR ANY PARTICULAR USE CASE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQUADUCK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.
THIS INCLUDES LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, HARDWARE DAMAGE, SYSTEM FAILURE, OR LOST REVENUE.
AQUADUCK’S TOTAL LIABILITY ARISING FROM THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
15. Indemnification
You agree to defend, indemnify, and hold harmless Aquaduck and its affiliates from claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of law or third-party rights
16. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
You agree that disputes relating to these Terms or the Services will be resolved in courts located in California.
17. Changes to These Terms
We may update these Terms at any time. Updated Terms become effective when posted.
Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
